We analyze the situation, prepare documents and represent your company’s interests in court. We assess the prospects and risks of the case and explain, in plain language, the possible ways to protect your interests and the decisions made.

The Olha Petrukhina Law Firm, part of the UHY Prostir group of consulting companies\*, provides legal assistance to companies in civil, commercial and administrative cases.

We can carry out a single task, such as a consultation or drafting a claim, or handle your case in the court of first instance, on appeal and in cassation (a review of how the lower courts applied the law).

## How we can assist you

- Defend your company in court against a claim.
- Go to court over a counterparty’s breach of contract.
- Resolve a corporate dispute between shareholders in court.
- Challenge a government authority’s decision in court.
- Defend a company executive in a court case related to their position.
- Take over a case that is already in court.
- Appeal a court decision.

## Our services

- Attorney consultation. We assess the situation, the documents and the prospects of the dispute and explain what to do next.
- Court representation. We prepare claims, statements of defense and other procedural documents and represent the company in commercial, administrative and civil cases.
- Appeals against court decisions. We prepare appeals and cassation appeals and represent your interests while they are reviewed.
- Protection of the executive’s interests. We represent the company’s executive in court cases related to their work at the company.

## Service fees

We set the attorney’s fee individually for each case. The attorney’s fee is based on:

- the category and complexity of the case;
- the stage of the proceedings;
- urgency.

The fee is calculated separately for preparing a claim, a statement of defense, an appeal or a cassation appeal and for the attorney’s participation in court hearings.

Work with documents — processing the case materials, evidence and correspondence — is usually done by the attorney’s assistants. It’s paid separately: not as part of the attorney’s fee, but at a cost that depends on the volume of materials.

We set out the scope of services, the attorney’s fee, the cost of work with documents and the payment terms in our proposal and record them in the relevant agreement.

Court fees, expert examinations, translation services and travel costs aren’t included in the attorney’s fee or in the cost of work with documents. You pay any additional costs only after we’ve agreed on them with you.

## Getting started

1. **Tell us what you need**\
Submit a request or contact us. Tell us about the circumstances of the case, the deadlines and the outcome you’re seeking.
2. **Provide information for a proposal**\
We’ll clarify the details of the case during a call and make sure there’s no conflict of interest. This helps us define the scope of legal assistance, the attorney’s fee and the timeline.
3. **Review our proposal**\
You’ll receive the scope of legal assistance, the attorney’s fee and the timeline. We’ll discuss your questions and agree on the terms.
4. **We sign the agreement**\
We send you a draft agreement with the agreed terms, in Ukrainian and English if needed. You review it and return it with comments or confirmation of your approval. We agree on the final version, sign the agreement and move on to planning our cooperation.

## Our process

After the agreement is signed, we provide our services in the following stages:

1. **We build the legal position**\
We analyze the materials, assess the risks and discuss the next steps with you.
2. **We carry out the assignment**\
We prepare and file procedural documents, take part in court hearings and keep you informed of the progress of the case.
3. **We explain the outcome**\
We discuss the decision made, its consequences and possible next steps.
4. **We appeal the decision**\
If the decision isn’t in your favor and there are grounds, we prepare, by separate agreement, an appeal or a cassation appeal.

## What you can expect

Depending on the agreed task, you’ll receive:

- An attorney’s assessment of the prospects of the case and the legal risks.
- A legal position and a plan of action in court agreed with you.
- Procedural documents — a claim, a statement of defense, appeals — prepared and filed by an attorney.
- Representation by an attorney in the court of first instance, on appeal and in cassation.
- Updates on the progress of the case and explanations of the decisions made.
- Confidentiality of all information about your case under attorney-client privilege.

The attorney defends your position, but no outcome can be guaranteed: the decision is made by the court.

## Frequently asked questions

### Can we engage you for a one-off task without ongoing services

Yes. You can order a one-off task, for example a consultation with an attorney, without ongoing services. We’ll review your request and documents and send you a proposal setting out the scope of legal assistance, the attorney’s fee and the timeline.

### What cases do the firm’s attorneys handle

Commercial, administrative and civil cases of companies: corporate and contractual disputes, debt recovery, protection of ownership rights and appeals against decisions of government authorities. We handle cases of individuals only when they’re related to the company’s business, for example cases of its executive. Before signing the agreement, we analyze the materials and assess the prospects, risks and potential costs.

### What to do if a claim has been filed against the company

Act promptly: the deadline for a statement of defense is set by the court in its ruling to open proceedings. If the company fails to file a statement of defense on time without a valid reason, the court will decide the case on the available materials, that is, without your objections. Send us the claim, the court ruling and the date you received them — an attorney will assess the position and prepare a statement of defense.

### Can you take on a case that is already in court

Yes. We first study the case file, the previous procedural steps and the current deadlines. We then agree the scope of assistance, and the attorney joins the case as the company’s representative.

### What documents are needed to get started

A brief description of the situation, the outcome you expect and the documents you have: contracts, correspondence, demand letters, court decisions, requests from government authorities or other procedural documents. If you’ve received a document with a set response deadline, tell us the date you received it. After reviewing the materials, we’ll clarify what else is needed.

### Can a company represent itself in court without an attorney

Yes, through its executive or another person authorized to act on its behalf by law, the articles of association or an employment contract. This is called self-representation. Apart from small claims cases, only an attorney can represent the company in court as an outside representative. Self-representation doesn’t prevent you from engaging an attorney: both your in-house lawyer and an attorney can take part in the case.

### Does a company need an electronic court account

Yes. All legal entities registered in Ukraine must register an electronic account in the Unified Judicial Information and Communication System. The court sends case documents there, including rulings and decisions. If a company has no account, the court may refuse to proceed with its filings until the problem is fixed or return them, and if a statement of defense was filed this way, it may decide the case on the available materials. This obligation is set out, in particular, in [Article 6 of the Commercial Procedure Code of Ukraine](https://zakon.rada.gov.ua/laws/show/1798-12).

### Can a dispute be settled out of court

Yes, if the circumstances of the case and the parties’ positions allow an agreement. A demand letter before filing a claim is mandatory only in cases provided for by law, but the court takes an attempt at amicable settlement into account when allocating court costs. We assess the options for negotiation, formal demands or debt restructuring, prepare demand letters, take part in negotiations and assist in legally documenting the agreements reached.

### Can you recover your legal costs if you win the case

Yes. If the court rules in your favor, attorney costs and the court fee can be recovered from the other party — in full or in proportion to the claims granted. To do this, a preliminary estimate of court costs is filed together with the first statement on the merits of the case, followed by the evidence: the agreement with the attorney, a detailed description of the work performed and proof of payment. The court may reduce the amount if it finds it disproportionate to the complexity of the case and the amount of work done by the attorney. The procedure is set out in the procedural codes, in particular [Articles 124–129 of the Commercial Procedure Code of Ukraine](https://zakon.rada.gov.ua/laws/show/1798-12).

### What does attorney-client privilege cover

Any information about you and your case that the attorney received in the course of the work: the questions you came with, the content of consultations, and the documents and materials prepared, including those on electronic media. The duty of confidentiality applies to the attorney, their assistants and the firm’s employees. This is set out in [Article 22 of the Law of Ukraine “On the Bar and Practice of Law”](https://zakon.rada.gov.ua/laws/show/5076-17).

### Do you guarantee the decision of the tax authority or the court

No. The tax authority or the court makes the decision, so it can’t be guaranteed. The law firm is responsible for the quality of its legal assistance within the agreement and the soundness of the legal position it prepares. We explain the prospects, risks and limits of our assistance before signing the agreement.
