Representative Offices of Foreign Companies in Ukraine: Mandatory Inclusion in the Unified State Register, Recent Legislative Changes, and Action Steps for Businesses

On September 3, 2024, the Resolution of the Cabinet of Ministers of Ukraine No. 1004 came into effect, introducing new requirements for the state registration of representative offices of foreign companies in Ukraine.

Essence of the Changes

From now on, all representative offices of non-residents without exception are subject to mandatory inclusion in the Unified State Register (USR).

What are the consequences for representative offices not included in the USR?

Representative offices that have not completed state registration may face restrictions when:

  • making changes to registration data;
  • terminating business activities;
  • forming a liquidation commission;
  • obtaining official certificates (in particular, those confirming the absence of debt).

Step-by-Step Guidance for Representative Offices

  1. Check whether your representative office is included in the USR.
    The check can be carried out via the following link:

  2. If no record is found – contact the Ministry of Justice of Ukraine to undergo state registration in accordance with the updated procedure.

Initially, the Ministry of Justice planned to transfer data automatically based on information received from other government bodies. However, the process was delayed and did not cover all entities.
Therefore, the Ministry now recommends that representative offices submit an application in the prescribed form independently for inclusion in the USR.
